SUCCESSFUL FULFILMENT OF ALL CONDITIONS PRECEDENT RELATING TO THE
ACQUISITION OF THE REMAINING 35% INTEREST IN THE SHARE CAPITAL OF TCM

Unless otherwise defined herein, capitalised words and terms contained in this announcement shall
bear the same meanings ascribed thereto in the announcement published by Grindrod on SENS on 18
September 2024 and the update announcements published on 27 January 2025 and 14 March 2025.

The board of directors of Grindrod is pleased to advise that all Conditions Precedent to proceed to
closing of the Acquisition have been fulfilled.

The Purchaser and Seller are accordingly proceeding to take the necessary steps to closing of the
Acquisition in accordance with the Agreement or an earlier date.
