APPOINTMENT OF INDEPENDENT NON-EXECUTIVE DIRECTORS

OGL shareholders are referred to the announcement released on the
Stock Exchange News Service on 25 November 2025 in respect of
future changes to the OGL board to maintain a majority of
independent, non-executive directors on the OGL board.

In compliance with paragraph 6.71 of the JSE Listings Requirements,
OGL shareholders are informed that Ms Kamo Kroll, Ms Nazia Kahlon,
Ms Renasha Werbeloff (Govender) and Mr Magnus Taljaard have been
appointed as independent non-executive directors to the boards of
OGL and its 92.8%-held subsidiary, OUTsurance Holdings Limited
(OHL) with effect from today, 17 August 2026.

The OGL board hereby confirms that fit and proper assessments of
all four individuals have been conducted and that the outcome is
satisfactory.

Pursuant to paragraph 6.74 of the JSE Listings Requirements, there
have been no affirmative disclosures regarding the integrity
information included in all four of these directors' declarations.
The OGL board is satisfied with the qualifications, competencies
and experience of the directors being appointed.

Ms Kamo Kroll

Kamo is a CA(SA) and investment professional with more than 17
years' experience in the financial services industry, including
over 13 years in investment banking. Prior to leaving RMB in 2024,
she held senior leadership positions within the organisation. She
currently serves as a non-executive director of Servest
(Proprietary) Limited and previously served on the board of
Primedia Limited as a non-executive director.

Ms Nazia Kahlon

Nazia is Research Director at the Allan & Gill Gray Philanthropies,
where she leads the global grant-making research function and
oversees a portfolio of investments in African venture capital
funds. She has 15 years of experience across asset management,
asset consulting and investment banking, as well as five years of
experience in philanthropy. She currently serves as a non-executive
director of Huddle Education, Curious Learning and Resolute
Robotics.

Ms Renasha Werbeloff (Govender)

Renasha is an Actuary and ex PwC partner, with over 19 years of
experience in the financial services sector. She previously held
senior leadership and executive roles within PwC South Africa,
including serving as Lead Actuarial Partner on life insurance
audits. Her responsibilities included regular engagement with audit
and actuarial committees, as well as bilateral and trilateral
discussions with the Prudential Authority on regulatory, audit and
actuarial matters. Her experience covers actuarial, risk and due
diligence engagements across South Africa and other key African
markets.

Mr Magnus Taljaard

Magnus is an experienced technology executive and currently serves
as a Technology Strategy Consultant to Life Healthcare Group and as
a non-executive director of Standard Bank Angola. He spent 30 years
as an employee of the Standard Bank Group, where he held various
leadership positions, including Chief Technology and Operations
Officer in Group IT.

The OGL and OHL boards welcome Kamo, Nazia, Renasha and Magnus and
look forward to their contributions to the boards.
