RETIREMENT OF MR NORMAN BASTHDAW

Shareholders are advised that in accordance with the rules of the Company’s provident fund,
Mr Norman Basthdaw, the Chief Financial Officer and Finance Director of Sun International,
will reach normal retirement age in April 2027.

Norman joined Sun International in 2013 as Head of Corporate Finance and New Business
Development and was appointed Chief Financial Officer and Finance Director on 24 March
2017. Throughout his tenure, he has played a pivotal role in shaping the group's strategic and
financial trajectory. His leadership has extended well beyond the finance function,
encompassing portfolio optimisation, corporate transactions and the execution of strategic
initiatives that have strengthened the group's resilience, competitiveness and long-term value
creation.


APPOINTMENT OF MS VANESSA OLVER AS CHIEF FINANCIAL OFFICER AND
FINANCE DIRECTOR

The board is delighted to announce that, following a comprehensive search, Ms Vanessa
Olver, has been appointed as the new Chief Financial Officer and Finance Director of Sun
International with effect from 1 January 2027.

Vanessa brings more than 25 years of senior finance leadership experience in listed
companies with a distinguished career marked by strong commercial impact across banking,
technology and financial services. Her previous senior executive roles have included,
Finance Director for Standard Bank Africa, Chief Financial Officer and Deputy Chief Executive
Officer at Business Connexion, and Chief Enablement Officer, Rest of Africa at Absa Group.
Beyond finance leadership, Vanessa has also led major operating divisions and complex
technology and business transformations.

Currently, Vanessa serves on the boards of Investec Limited and Investec Plc. as an
independent non-executive director, chairing Audit and Risk and Capital Committees, as well
as on the board of Quantum Change (Pty) Ltd which assists clients in enabling their strategies
across Africa.

Vanessa qualified as a Chartered Accountant (South Africa) through the South African Institute
of Chartered Accountants in 1996 following completion of a B Com Degree and H Dip
Accounting from Rhodes University. In addition, Vanessa holds a H Dip in Taxation from
Unisa. In 2000, Vanessa obtained the Certified Public Accountant (CPA) designation in the
United States through the Illinois Certified Public Accountants Society.
A fit and proper assessment, as contemplated in paragraph 5.6 of the JSE Listings
Requirements, was conducted and the board is satisfied with the outcome thereof. Sun
International further confirms that there is nothing to report in respect of the integrity
information contained in Vanessa’s director’s declaration.


LEADERSHIP TRANSITION

Accordingly, and with effect from 1 January 2027, Norman has agreed to step down as the
Chief Financial Officer and Finance Director of Sun International, as well as other group
companies and will be succeeded by Vanessa Olver as the new Chief Financial Officer and
Finance Director of Sun International.

While Norman will relinquish his role as Chief Financial Officer and Finance Director of Sun
International on 1 January 2027, he will remain available to the Company until April 2027 and
will work closely with Vanessa to effect a smooth transition and continue supporting the board
and group as appropriate.

The board takes this opportunity of thanking Norman for his significant contribution and
dedication to the business over the last 13 years and wishes him well in his retirement.

Likewise, the board takes this opportunity of welcoming Vanessa to the Sun International
board and looks forward to her contribution to the group.
