OCEANA GROUP LIMITED 2022 SHARE PLAN: DEALING IN SECURITIES BY DIRECTORS OF A MAJOR
SUBSIDIARY

In compliance with paragraphs 3.63 – 3.74 of the Listings Requirements of JSE Limited ("the JSE"), shareholders are
advised that the Company has awarded Deferred Bonus Shares ("DBS") and Performance Shares ("PS") on 2 December
2025 ("Award Date") to the following directors of a major subsidiary of the Company ("the Participants"), as set out below.

The award was offered to the Participant on 2 December 2025, and accepted as such by the Participants on 3 December
2025 ("Acceptance Date").

DBS are settled after three years from the Award Date and are conditional on the Participant still being in the employment
of the Group at the time of vesting.

PS are conditionally awarded with the final number settled after three years from the respective Award Dates dependent
on the performance criteria set being met. The number of shares to be settled will range from 0% to 200% of the conditional
award, subject to the Board's discretion.

The determined number of DBS and PS will be settled for the Participant in Oceana Group shares or in cash, at the
Company's sole and absolute discretion.

The DBS and PS awarded and accepted by the Participants are summarised below:
