APPOINTMENT OF A NEW INDEPENDENT NON-EXECUTIVE DIRECTOR TO THE BOARD OF UMNGENI-
UTHUKELA WATER


In compliance with paragraph 6.42 of the Debt and Specialist Securities Listings Requirements of JSE Limited
("DSS Requirements"), noteholders and other stakeholders are hereby advised that the Honourable Minister of
Water and Sanitation, Ms. Pemmy C.P. Majodina, has appointed Ms. Althea (Lapoorta) Dlamini CA (SA) as an
ordinary member of the Board of uMngeni-uThukela Water. In addition to serving on the Board, Ms Dlamini will
also serve as a member of the Audit, Finance and Risk Committee and the Information, Technology and Innovation
Committee.


This appointment has been made in terms of section 35 of the Water Services Act, No. 108 of 1997, which vests
the authority to appoint members of a Water Board in the Minister of Water and Sanitation.


The appointment follows a Board vacancy that arose after the passing of the late Ms. S Masango. The Board
required a member with experience in audit, finance and risk. The appointment of Ms. Dlamini has also been made
to support sufficient gender and demographic representation on the Board.


Ms. Dlamini has been appointed with effect from 16 June 2026, and her term of office will run concurrently with the
current term of the Board, which will end on 30 September 2027, as confirmed in the Minister's appointment letter.


Ms. Dlamini is a qualified Chartered Accountant (South Africa) and brings extensive experience in audit, finance
and risk. Her qualifications and experience position her well to contribute meaningfully to the work of the Audit
Committee. The Board welcomes Ms. Dlamini's appointment and looks forward to her contribution to the
governance and oversight of uMngeni-uThukela Water.
