CHANGES TO THE COMPOSITION OF THE SANTAM BOARD AND BOARD COMMITTEES
In terms of paragraph 6.71 of the JSE Listings Requirements and paragraph 6.42 of the JSE Debt and
Specialist Listings Requirements, the Board of Directors ("the Board") herewith informs shareholders
and noteholders that Mr. Preston Speckmann retired as an independent non-executive director with
effect from Friday, 05 June 2026, having served on the Board since 2017. Mr Speckmann
simultaneously stepped down as the Chairperson and member of the Audit Committee as well as a
member of the Company's the Risk Committee.
The Board would like to thank Mr. Speckmann for his commitment and his invaluable contribution during
his tenure and wishes him well in his future endeavours.
Further to the abovementioned, the Board is pleased to announce that Mr Richard Wainwright (an
existing independent non-executive director on the Board and a member of the Audit Committee and
the Risk Committee respectively, since 20 May 2025) has been appointed as the Company's new
Chairperson of the Audit Committee. Mr Wainwright is an esteemed and seasoned executive who
previously fulfilled various senior positions at Investec Bank Limited ("Investec"), before he assumed
the role as the Chief Executive Officer of Investec from 2016 until 2024. He has been a qualified
chartered accountant by profession since 1988 and holds a B.Com (Honours) degree in Financial
Management, which he obtained from the University of Cape Town in 1984.
Notably to also highlight, is that the composition of the Board and the Board Committees remain
compliant with the applicable statutory requirements and best practice membership criteria.
