NOTIFICATION OF AMENDMENT AND RESTATEMENT OF ATTACQ LIMITED'S R5,000,000,000 DOMESTIC
MEDIUM TERM NOTE PROGRAMME
Noteholders are referred to the Notice of Noteholder Meeting (the Notice) which was distributed to
Noteholders via Strate on 15 December 2025, whereby a Noteholder Meeting was requested in order for
Attacq Limited to put forward six Extraordinary Resolutions for Noteholders to vote on. Capitalised terms
used herein which are not otherwise defined shall bear the meaning ascribed thereto in the Notice.
Extraordinary Resolution No 1 requested consent from the Noteholders for the substitution of Attacq Limited,
as Issuer, under the Attacq Limited R5,000,000,000 Domestic Medium Term Note programme (the Attacq
Limited DMTN Programme), with Attacq Treasury Limited, a wholly owned subsidiary of Attacq Limited under
the Attacq Treasury Limited R5,0000,000,000 Domestic Medium Term Note programme (the Attacq Treasury
Limited DMTN Programme), and for Attacq Limited to become a Guarantor to the Attacq Treasury Limited
DMTN Programme.
Extraordinary Resolution No 4 requested consent from the Noteholders for the registration of an amended
and restated Programme Memorandum and Guarantee to give effect to the proposed changes as a result
of Extraordinary Resolution No 1.
Extraordinary Resolution No 5 requested consent from the Noteholders for the amendment and restatement
of each of the existing applicable pricing supplements relating to each of the Notes (with Stock Codes) in
issuance to give effect to the proposed changes as a result of Extraordinary Resolution No 1 and
Extraordinary Resolution No 4.
Noteholders are further referred to the SENS announcement released on 21 January 2026 whereby
Noteholders were advised as to the voting results of the Noteholder Meeting held on 20 January 2026 and
subsequent SENS announcement released on 3 February 2026 in respect of the updated voting results
applying new voting methodology proposed by the JSE Limited (JSE). As recoded in the SENS
announcements, Extraordinary Resolutions Nos 1 to 6 were passed by the requisite majorities.
Noteholders are hereby further advised that formal approval for the registration of the Attacq Treasury
Limited DMTN Programme on the JSE Interest Rate Market has been provided.
Following the registration of the Attacq Treasury Limited DMTN Programme, Attacq Treasury Limited has
substituted Attacq Limited as Issuer for all Notes (with Stock Codes ATQ01 and ATQ02) currently outstanding
under the Attacq Limited DMTN Programme.
Going forward, the applicable JSE Alpha Code for Attacq Treasury Limited (ACQI) will be applicable to all
correspondence, programme documentation and Notes in issue. Attacq Treasury Limited has concurrently
released a SENS announcement dated 03 February 2026 confirming same.
