UPDATE ON THE ACQUISITION OF A CONTROLLING INTEREST IN SAFARICOM PLC

Shareholders are referred to the announcement released on SENS on 4 December 2025, 5 December 2025, and
30 June 2026 respectively, regarding Vodacom’s agreement to acquire (“Acquisition”) an effective 20% interest,
15% from the Government of Kenya and 5% from Vodafone International Holdings B.V, via Vodafone Kenya
Limited (“VKL”), in the issued share capital of Safaricom PLC (“Safaricom”).

On 26 June 2026, the Court of Appeal (Nairobi) granted the Attorney General's application to lift the conservatory
order relating to the transaction (“Appeal Order”), enabling the completion of the Acquisition. Following the
court ruling, VKL acquired the Government of Kenya's 15% shareholding in Safaricom through a block trade on
the Nairobi Securities Exchange on 30 June 2026. On the same date, Vodacom also acquired an effective 5%
interest in Safaricom from Vodafone International Holdings B.V. The Acquisition was completed on 30 June 2026,
increasing Vodacom's effective shareholding in Safaricom to 55%.

Subsequent to the Appeal Order, the High Court of Kenya provided a judgment on a petition against the
Acquisition, which judgement was handed down on 15 September 2026. Vodacom will review the judgment, and
its implications. As interim steps, an appeal against the decision will be lodged with the Court of Appeal, as well
as an application to stay the matter until an appeal is heard.
