UPDATE ON HIGH COURT ATTACHMENT OF SHARES HELD BY RISKOWITZ VALUE FUND LP AND EXTENSION OF RULE NISI
Shareholders and interested parties are referred to the Company’s announcement
published on SENS on 1 October 2026, titled “Namibian High Court Attaches 200,000,000
Riskowitz Value Fund Shares Held in Trustco with a Rule Nisi to Confirm Jurisdiction”, and
the Company’s previous announcements concerning the disputes and proceedings
involving Riskowitz Value Fund LP (“RVF”) and Riskowitz Capital Management LLC.
The Company advise that, at the request of RVF and by agreement between the Parties,
the following order was made by the Namibian High Court on 5 November 2026:
IT IS ORDERED THAT:
1. The respondent has unconditionally and irrevocably submitted to the jurisdiction of this
Court in respect of the action contemplated in the particulars of claim annexed to the
founding affidavit marked "TGH18", as instituted and as amended from time to time, any
counterclaim, and all interlocutory, incidental and execution proceedings in Namibia arising
from that action.
2. The rule nisi issued on 25 September 2026 is extended to 20 November 2026. The interim
order remains in force in respect of the Tranche 1 Shares and LSH shares, as defined in
that order, until the extended return day.
3. The costs of this application are reserved for determination in the action.
4. The case is postponed to 20 November 2026 at 10h00 for Residual Court Roll hearing
(Reason: Agreement by parties).
The Company will keep shareholders and the market informed of any further material
developments in accordance with the JSE Listings Requirements and the applicable
requirements of the Namibian Stock Exchange.
