Update on the Scheme of Arrangement timetable

Capitalized terms used in this Announcement shall, unless contrary to the context or otherwise defined
herein, bear the meaning ascribed to them in the Circular to Brikor Shareholders, dated 7 September
2026.

Shareholders are referred to the Circular issued to Brikor shareholders on 7 September 2026 regarding
a scheme of arrangement in terms of section 114(1)(c), read with section 115 of the Companies Act.

The Company advises shareholders that a complaint has been filed with the JSE Limited (“JSE”) and
forwarded to the Takeover Regulation Panel ("TRP") by a shareholder in connection with the Circular.
The TRP is awaiting further details of the complaint from the JSE to ascertain whether said complaint
warrants investigation by the TRP in terms of section 169 of the Companies Act 71 of 2008, as amended
(the "Act").

Pending the receipt of the further information and finalisation of the assessment of the complaint in
terms of section 169(1) of the Act, the TRP has directed that implementation of the Scheme be
suspended. Accordingly, the timetable set out in the Circular is suspended until the TRP has received
further details regarding the complaint and completes the assessment, the TRP will communicate its
determination to the parties.

Shareholders will be updated once the TRP investigation has been finalised.
