CHANGE IN EXTERNAL AUDITORS



In compliance with paragraph 6.41of the JSE Listings Requirements and the Companies Act,
No. 71 of 2008, shareholders are advised that the Board of Directors of Labat ("the Board"),
following careful consideration and the recommendation of the Audit and Risk Committee,
has resolved to:

   •   Terminate the appointment of P Mapfumo Accountants and Auditors Incorporated
       ("P Mapfumo") as the Company's external auditors with effect from 11 June 2026. This
       decision follows the challenges experienced in completing their IRBA verification in
       time for the Labat 2026 audit.
   •   Appoint HLB CMA South Africa Incorporated ("HLB CMA") as the Company's new
       external auditors with effect from 11 June 2026.

The Audit and Risk Committee has considered and satisfied itself that HLB CMA and the
proposed engagement team are accredited by the Independent Regulatory Board for
Auditors ("IRBA"), are suitably qualified to act as external auditors of the Company and are
independent of the Company in accordance with applicable regulatory requirements.

The appointment of HLB CMA forms part of the Company's ongoing commitment to
strengthening its governance, financial reporting and regulatory compliance framework.
As a firm with experience in auditing JSE-listed companies, the Board believes that HLB CMA
will enhance the Company's audit capacity and support the delivery of high-quality
financial reporting and continued compliance with applicable regulatory requirements.

Mr Jeandre Du Toit has been appointed as the designated audit engagement partner and
will lead the audit of the Company's annual financial statements for the financial year
ending 31 May 2026.

The Board wishes to express its appreciation to P Mapfumo Accountants and Auditors
Incorporated for the professional services rendered to the Company during its tenure as
external auditor and thanks the firm for its contribution to the Company.
