Update on Quarterly update announcement in terms of the JSE Listings Requirements
Shareholders are referred to quarterly update announcement published on SENS on 28
August 2026.
In the announcement, reference was made to the implementation steps relating to the
arrangements involving Lapon Plant (Pty) Ltd (“Lapon”) and Daemaneng Minerals (Pty) Ltd
(“Daemaneng”) and that the Company engaged with the JSE regarding the appropriate
regulatory treatment and categorisation of the above arrangements. The Company would like
to update this statement. Shareholders are referred to the SENS announcement published on
6 August 2026 (“SENS announcement”) regarding the plant operator Transaction entered into
between Lapon and Daemaneng (“the Transaction”). As detailed in the said announcement,
the JSE has agreed that the Transaction was entered into in the ordinary course of business
after having considered the information submitted by the Company and its sponsor.
Accordingly, the Transaction is not a category 1 transaction for purposes of the JSE Listings
Requirements and will therefore not be subject to the requirements applicable to category 1
transactions, including the preparation of a category 1 circular and approval by shareholders.
