Death of Independent Non-Executive Director Brian Smith

It is with great sadness that the board of Nqaba (“Board”) announces the passing of Mr Brian
Smith, an Independent Non-Executive Director of the Company, over the weekend of 9-11
October 2026.

Mr Smith served the Company with insight and dedication in his capacity as Board Chairperson
and Audit Committee member.

The Board thanks him for his valuable contribution and extends its sincere condolences to his
family, friends and colleagues.

The Board will update noteholders further in due course.
