GENERATION EDUCATION GROUP


Shareholders are referred to the announcements published on SENS on 3 September 2026, 14
September 2026 and 14 October 2026 as well as the Circular distributed to Shareholders on
3 September 2026, and using the terms defined therein, unless otherwise stated.

Shareholders are advised that:
-     all Disposal Conditions have been fulfilled (or waived) as applicable;
-     the Company has received the requisite compliance certificate from the TRP in respect of the
      Disposal.

Accordingly, the Disposal will now be implemented in accordance with its terms.
