Voluntary disclosure of changes in the nature of certain directors' holdings of
Clientèle shares
Shareholders are advised that River Lily Investment (Pty) Limited ("River Lily"),
an investment holding company, has resolved to unbundle its total holding of 205
229 190 Clientele shares to its shareholders effective 10 June 2025 ("the
unbundling").
The unbundling will result in the following changes in the nature of the holdings
of a director of Clientèle and an associate of a director of a wholly owned
subsidiary of Clientèle, namely:
- Mr BW Reekie, the managing director of Clientèle Limited, having previously
held an indirect interest in Clientèle through River Lily will now directly
and beneficially hold 1 293 906 Clientèle shares in his own name with the
Clientèle share register being accordingly amended to reflect such change;
and
- The Sheila Audrey Summers Family Trust (the Trust"), an associate of Mrs BL
Frodsham who is an executive director of Clientèle Life Assurance Company
Limited (a wholly owned subsidiary of Clientèle), having previously held an
indirect interest in Clientèle through River Lily, will now directly and
beneficially hold 650 000 shares in its own name, with the Clientèle share
register being accordingly amended to reflect the Trust as a shareholder.
In summation, the unbundling will be carried out off market with the aggregate
number of Clientèle shares held by these directors remaining unchanged.
