CHANGES TO THE BOARD AND BOARD COMMITTEES
Shareholders are advised that Mr Khaya Sithole has, due to personal reasons, tendered his resignation as a
non-executive director of the Company and as chairman of the Group's Audit and Risk Committee and as a member of
the Group's Remuneration and Nomination Committee. Mr Sithole's resignation is effective from 12 December 2025.
Shareholders are further advised that, pursuant to the change in Mr Stafford Masie's role to an executive capacity (as
published on 10 September 2025), with effect from 28 November 2025, Mr Masie has resigned as a member of the
Group's Remuneration and Nomination Committee and Mr GG Alcock, an independent non-executive director of the
Company, has been appointed as a member of the Group's Remuneration and Nomination Committee.
The board of directors of Africa Bitcoin Corporation ("Board") has commenced a process to appoint a suitable non-
executive director, as Mr Sithole's successor, and is confident that such a candidate will be identified in the near future.
A further announcement in this regard will be released once an appointment is made.
The Board wishes to thank Mr Sithole for his invaluable contribution during his tenure and wishes him the best in his
future endeavours.
