Valterra Platinum board changes
Shareholders are advised that Lwazi Bam will step down as a non-executive director of the Company and,
consequently, from the Board committees he serves on, with effect from 8 May 2026 to take up an executive
director role external to Valterra Platinum.
The Board thanks Lwazi for his outstanding contribution to the Board and the committees on which he has
served during his tenure.
Withdrawal of resolutions to be adopted at the upcoming annual general meeting
Given the aforementioned resignation, and with reference to the Notice of Annual General Meeting dated 27
March 2026 ("Notice"), shareholders are advised that ordinary resolutions 3.2 and 4.1 regarding Lwazi's re-
election as a member of the Audit and Risk, and Social, Ethics and Governance Committees, have been
withdrawn.
In the circumstances, the withdrawn resolutions will not be proposed for consideration by shareholders at the
Company's annual general meeting to be held at 10:00 on 8 May 2026 at Valterra Platinum's offices situated at
144 Oxford Road, Rosebank, Johannesburg ("AGM"). For the avoidance of doubt: (i) the withdrawal of the
above-mentioned resolutions does not affect the validity of any voting instruction or form of proxy already
submitted, or to be submitted, in respect of the AGM; and (ii) the remaining resolutions contained in ordinary
resolutions 3 and 4, as set out in the Notice, will be proposed for consideration by shareholders at the AGM,
ensuring compliance with regulatory and governance requirements regarding the annual appointment of
members to the audit, and social and ethics committees.
