APPOINTMENT OF INDEPENDENT NON-EXECUTIVE DIRECTOR AND MEMBER OF THE AUDIT AND COMPLIANCE COMMITTEE

In compliance with section 6.71 of the JSE Listings Requirements (“JSE LR”), shareholders are advised that Thetele
Emmarancia (Emma) Mashilwane has been appointed as an independent non-executive director of the company
and member of the audit and compliance committee with effect from 2 September 2026.

Emma is a seasoned chartered accountant and registered auditor, and has extensive experience in both internal and
external audit and the provision of advisory services to clients spanning, amongst others, financial services (including
insurance), FMCG, transport and logistics and real estate management. She is the co-founder and CEO of MASA
Auditors. Emma has received recognition as the Businesswoman of the Year at the Association for the Advancement
of Black Accountants of Southern Africa’s (“ABASA”) 2021 Leading Woman Conference and ABASA’s 2022
Entrepreneur of the Year.

Emma is a non-executive director and chairperson / member of various committees of Clientéle Limited, and Tiger
Brands Limited where she also held the position of lead independent director until 2023. She also served as a non-
executive director and chairperson / member of various committees of Capitec Bank Limited, Famous Brands Limited
and Murray & Roberts Limited (until March 2020).

In compliance with section 6.73 of the JSE LR, a fit and proper assessment was conducted, the outcome of which
the board is satisfied with. Mr Price Group further confirms that there are no positive statements to report in respect
of the integrity information contained in Emma’s director’s declaration.

The board welcomes Emma to the Mr Price Group.
