GROUP RESULTS FOR THE 52 WEEKS ENDED 28 JUNE 2026 AND CASH DIVIDEND DECLARATION

For the year, the Shoprite Group increased sale of merchandise from continuing operations by 7.2% to R270.8 billion, adding R18.1 billion in sales.

This was achieved in a period of internal selling price inflation, averaging 0.8% within our core Supermarkets RSA segment, notably lower than Stats
SA's official food and non-alcoholic beverages inflation of 3.9% for the year. Our selling price inflation reflects the Group's continued commitment
to lowest prices and affordability, as does the R18.3 billion in Xtra Savings rewards returned to our customers at till point during this year.

Supermarkets RSA, representing 84.5% of Group sales, increased sales by 7.1% and added R15.2 billion to last year's base. Within this, Shoprite and
Usave increased sales by 4.3% alongside internal selling price deflation of -0.1% and -0.6% respectively, whilst Checkers and Checkers Hyper
increased sales by 10.0% with internal selling price inflation of 2.0% and 1.2% respectively. Our home-grown pet format, Petshop Science, reached
185 stores and increased sales by 74.5%, following 41 net new store openings.

Included in the aforementioned Supermarkets RSA's sales, Sixty60, the Group's on-demand digital platform, increased sales by 34.5% to R25.5 billion.
This translates to an additional record R6.6 billion in additional revenue over the year. 

We continue to invest selectively in adjacent growth markets where specialist expertise and speed-to-market offer a clear advantage. Post our
financial year end we finalised the acquisition of an initial 51% interest in R&A Cellular which will support the expansion of our financial
services and value-added products and services across informal and semi-formal retailers. In addition, we signed a purchase agreement subject to
conditions precedent and regulatory approval, to acquire Vida e Caffe. Intended to strengthen our presence in the growing coffee and quick-service
restaurant category the acquisition will add deep operational expertise and an established network of approximately 400 corporate and
franchise stores.

After many years of consolidation, it is pleasing to report Supermarkets Non-RSA increased sales by 11.0% together with improved profitability.

Declaration of ordinary dividend

The Board has declared a final dividend of 566 cents (2025: 496 cents) per ordinary share, payable to shareholders on Monday, 28 September 2026.
The dividend has been declared out of retained earnings in accordance with applicable legislation. This brings the total dividend for the year
to 873 cents (2025: 781 cents) per ordinary share. The last day to trade cum dividend will be Monday, 21 September 2026. As from Tuesday,
22 September 2026, all trading of Shoprite Holdings Ltd shares will take place ex dividend. The record date is Friday, 25 September 2026.
Share certificates may not be dematerialised or rematerialised between Tuesday, 22 September 2026, and Friday, 25 September 2026,
both days inclusive.

In terms of the Dividends Tax, the following additional information is disclosed:
1. The local dividend tax rate is 20%.
2. The net local dividend amount is 566 cents per share for shareholders exempt from paying Dividends Tax and 452.8 cents per share for
   shareholders liable to pay Dividends Tax.
3. The issued ordinary share capital of Shoprite Holdings Ltd as at the date of this declaration is 591 338 502 ordinary shares.
4. Shoprite Holdings Ltd's tax reference number is 9775/112/71/8.
