VOLUNTARY ANNOUNCEMENT IN RESPECT OF THE CLOSING OF THE LADISMITH CHEESE
DISPOSAL
Shareholders are referred to the Category 2 announcement published by the Company on SENS on
21 November 2025, wherein shareholders were advised that the Company had entered into a sale
of shares and claims agreement (the "Sale of Shares and Claims Agreement") with Fairfield Dairy
Proprietary Limited in terms of which the Company would dispose of (i) 3,272,101 class "A" shares
and 323,600 class "N" shares, collectively constituting 100% of the issued shares of Ladismith
Cheese Company Proprietary Limited ("Ladismith Cheese"), a wholly-owned subsidiary of the
Company, and (ii) all of the claims of whatsoever nature and howsoever arising which the Company
has against Ladismith Cheese, including its subsidiaries (the "Ladismith Cheese Disposal").
Shareholders are further referred to the Extension of Date for Fulfilment of Suspensive Conditions
announcement published by the Company on SENS on 30 March 2026, wherein shareholders were
advised that certain suspensive conditions remain outstanding, the regulatory approval by the
Competition Authority being the primary outstanding condition and that accordingly, the parties had
agreed in writing to extend the date for fulfilment of the remaining suspensive conditions to
30 June 2026.
The Company is pleased to advise shareholders that approval by the Competition Authority has been
obtained and that all of the suspensive conditions of the Sale of Shares and Claims Agreement have
been fulfilled. Accordingly, the Ladismith Cheese Disposal became unconditional and closed today,
8 May 2026.
