DEALING IN SECURITIES BY A DIRECTOR OF NEPI ROCKCASTLE: AMENDMENT TO EXISTING FINANCIAL OBLIGATION


Shareholders are referred to previous SENS announcements relating to the pledge and cession of 237 680 NEPI
Rockcastle shares by Steven Brown, a non-executive director of the Company, as security for a loan of R34 million (the
"financial obligation"), the last of which was published on 21 October 2025.

In accordance with the JSE Listings Requirements and the Market Abuse Regulation in Europe, shareholders are advised
of an increase to the facility limit of the existing financial obligation to R50 million on 17 June 2026, which amendment
constitutes a dealing in securities by a director under the JSE Listings Requirements.

No additional NEPI Rockcastle shares have been pledged as security and the pledge and cession of 237 680 NEPI
Rockcastle shares related to the financial obligation remains unchanged. Clearance to deal was obtained.
