Shareholders are advised of the following information regarding dealings in the Company’s securities by an associate
of a director of Africa Bitcoin Corporation:

 Name of director:                    Warren Wheatley
 Capacity of director:                Chief Executive Officer and Executive Director of the Company
 Name of associate and                WGW Capital Proprietary Limited (“WGW Capital”) - Warren Wheatley and his
 relationship with the director:      immediate family are beneficiaries of The WGW Family Trust, which is the sole
                                      shareholder of WGW Capital
 Nature of transaction:               Off-market purchase of Ordinary Shares in the Company pursuant to the
                                      exercise, by Creation Mezzanine Fund en commandite Partnership duly
                                      represented by Intaba General Partner Proprietary Limited in its capacity as
                                      General Partner (the “Fund”), of a put option granted to the Fund in terms of a
                                      Put and Call Option Agreement originally entered into between WGW Capital,
                                      the Company and the Fund on 22 April 2022, as amended on 10 October 2024

Further to the above, in terms of paragraph 6.54 of the JSE Listings Requirements and section 122(3)(b) of the
Companies Act, No. 71 of 2008, as amended (“Companies Act”), shareholders are advised that, pursuant to the
abovementioned transaction, Mr Warren Wheatley, along with his related and inter related persons, being WGW Capital,
Tatum Keshwar Investments Proprietary Limited and Kayle Wheatley, collectively hold 50.35% (previously 45.60%) of
the total issued Ordinary Shares in Africa Bitcoin Corporation Limited.

The board of directors of Africa Bitcoin Corporation accepts responsibility for the information contained in this
announcement and confirms that, to the best of its knowledge and belief, such information is true and this announcement
does not omit anything likely to affect the importance of such information.

The requisite notices, in terms of section 122(3)(a) of the Companies Act, have been filed with the Takeover Regulation
Panel.
