DEALINGS IN SABCAP SHARES BY AN ASSOCIATE OF A DIRECTOR AND NOTICE OF CHANGE OF BENEFICIAL OWNERSHIP
In accordance with the JSE Limited (“JSE”) Listings Requirements, shareholders are advised of the
following dealings in Sabcap shares by an associate of a director:
Director : Mr C S Seabrooke
Position : Executive Director and CEO
Date of transaction : 22 September 2026
Class of securities : Ordinary shares
Nature of transaction : Off-market donation to the Witwatersrand University
Foundation by The Seabrooke Family Trust (“SFT”) in
support of the University’s Arts Precinct Expansion
project.
Associate : SFT is the family trust of Mr C S Seabrooke, of which
he is a discretionary beneficiary.
Number of shares donated : 1,400,000 shares
Transaction consideration : R nil
Deemed value of transaction* : R204,400,000
Nature of interest : Indirect, beneficial (dealing by associate)
Clearance to deal obtained : Yes
* based on prevailing market price of R146.00 as at 22 September 2026
Following the above donation, SFT now holds 38.8% of the total issued ordinary share capital of the
Company, representing a decrease from the 42.6% previously held.
In accordance with section 122(3)(b) of the Companies Act, No 71 of 2008, as amended (“Companies Act”),
and paragraph 6.54 of the JSE Listings Requirements, Sabcap shareholders are hereby advised that the
Company has received notification, in the prescribed form, from SFT, of the donation by SFT of a
beneficial interest in ordinary shares of the Company.
As required in terms of section 122(3)(a) of the Companies Act, Sabcap filed the required notices with the
Takeover Regulation Panel.
The board of directors of Sabcap accepts responsibility for the information contained in this announcement
having relied on the notice information as provided by SFT in the Form TRP 121.1 and, to the best of their
knowledge and belief, such information is true and does not omit anything likely to affect the importance of
