NOTICE IN TERMS OF SECTION 45(5) OF THE COMPANIES ACT, 71 OF 2008

As communicated to shareholders at the Group’s investor presentation in March 2026 and at the Group’s FY2026
annual results presentation in June 2026, NKD Group GmbH (NKD) intended to reduce the cost of its existing debt
in Europe.

Accordingly, and in order to effect these refinancing arrangements, shareholders are hereby notified, in terms of
section 45(5) of the Companies Act, 71 of 2008 (the Act), that the Board of Directors (Board) has authorised the
Company to provide financial assistance to NKD by providing a guarantee and indemnity in favour of the relevant
finance parties for an aggregate amount of up to EUR60 million.

In providing this notice, the Board confirms that due consideration was given to the solvency and liquidity
requirements of Section 4 of the Act and that shareholder approval by way of special resolution in terms of section
45(3) of the Act was obtained at the August 2025 annual general meeting.
