CHANGE TO BOARD COMMITTEE COMPOSITION OF CAPITEC AND CAPITEC
BANK ("THE COMPANIES")

In accordance with the JSE Listings and Debt and Specialist
Securities Listings Requirements, shareholders and noteholders
are advised that Mr. Gerhardus (“Gerrie”) Metselaar Fourie has
been appointed as a member of the Risk and Capital Management
Committee of Capitec and Capitec Bank (“RCMC”), with effect
from 29 September 2026.

Mr. Fourie was appointed as a non-executive director of
Capitec and Capitec Bank with effect from 1 August 2026. His
appointment to the RCMC supports the committee’s collective
skills and experience.

The RCMC comprises of the following members: Dr. SA du Plessis
(Chairman), Ms. NF Bhettay, Ms. N Ford-Hoon, Mr. GR Hardy, Mr.
V Mahlangu, Mr. PJ Mouton, and Mr. GM Fourie.
